Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and DeepCounsel ("Company," "we," "us," or "our") regarding your use of our legal AI platform and related services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. These Terms apply to all users of our Service, including but not limited to individual attorneys, law firms, legal departments, corporate legal teams, government legal offices, and other qualified legal practitioners who access our platform.

If you are using our Service on behalf of a law firm, legal department, or other organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" in these Terms will refer to both you individually and the organization you represent. This includes having the necessary corporate authorization, partnership agreement, or other organizational authority to enter into binding legal agreements on behalf of your organization. You further represent that you have reviewed these Terms with appropriate legal counsel within your organization and that your use of our Service has been properly authorized by your organization's governing body or designated decision-makers.

Your acceptance of these Terms creates a binding legal relationship between you and DeepCounsel. If you do not agree to all provisions of these Terms, you must not access or use our Service. Your continued use of our Service after any modifications to these Terms constitutes your acceptance of such modifications. We recommend that you periodically review these Terms to ensure your continued compliance and understanding of your rights and obligations.

Description of Service

Our legal AI platform provides comprehensive artificial intelligence-powered tools and services designed specifically for legal professionals, including attorneys, law firms, legal departments, and other qualified legal practitioners. Our Service encompasses a wide range of AI-enhanced legal capabilities including but not limited to document analysis and review, legal research assistance, contract drafting and review, litigation support, regulatory compliance analysis, legal brief preparation, case law research, statutory interpretation, legal precedent analysis, due diligence support, and other AI-enhanced legal capabilities designed to augment and support professional legal work.

The Service is intended solely for use by qualified legal professionals in connection with their authorized legal practice and may not be used for any other purpose. Our AI tools are designed to assist with legal work but do not replace the professional judgment, expertise, and responsibility of licensed attorneys. All output generated by our Service, including but not limited to legal analysis, document drafts, research summaries, case citations, legal opinions, and strategic recommendations, must be thoroughly reviewed, verified, validated, and independently assessed by qualified legal professionals before being used in any professional capacity, client communication, court filing, or legal proceeding.

Our Service includes various AI models and tools that may be updated, modified, or enhanced from time to time to improve performance, accuracy, and functionality. We provide these tools as technological aids to legal practice but expressly disclaim any responsibility for the legal accuracy, completeness, or appropriateness of AI-generated content. Users remain solely responsible for all legal work product and professional decisions made in connection with their use of our Service.

User Accounts and Eligibility


Account Creation

To access our Service, you must create an account by providing accurate, complete, and current information including but not limited to your full legal name, professional contact information, bar admission details, law firm or organization affiliation, practice areas, and professional credentials. You are responsible for maintaining the confidentiality and security of your account credentials, including your username, password, and any other authentication methods we may implement. You agree to immediately notify us of any unauthorized use of your account, any suspected security breaches, or any other breach of security that may affect your account or our Service.

You are solely responsible for all activities that occur under your account, whether authorized by you or not. This includes all use of our Service, all documents processed, all AI interactions, and all work product generated through your account. You agree to monitor your account regularly for any unauthorized activity and to take appropriate measures to secure your account credentials. We recommend using strong, unique passwords and enabling any multi-factor authentication options we provide.

Eligibility Requirements

Our Service is available only to licensed attorneys, law firms, legal departments, and other qualified legal professionals who are authorized to practice law in their respective jurisdictions and who are in good standing with their applicable bar associations or licensing authorities. By using our Service, you represent and warrant that you are a qualified legal professional with the necessary credentials, authority, and professional standing to use AI tools in your legal practice. You must maintain active licensure and good standing throughout your use of our Service.

You further represent that you have the necessary technical competence and professional knowledge to use AI tools responsibly in your legal practice, and that you understand the limitations and appropriate applications of artificial intelligence in legal work. You acknowledge that the use of AI tools in legal practice may be subject to specific regulatory requirements, professional conduct rules, or jurisdictional limitations, and you agree to comply with all such requirements.

Account Responsibilities

You are responsible for ensuring that your use of our Service complies with all applicable laws, regulations, professional conduct rules, bar association guidelines, and ethical requirements in your jurisdiction. This includes but is not limited to maintaining appropriate professional liability insurance, ensuring that your use of AI tools meets the requirements for competent representation under applicable rules of professional conduct, obtaining any necessary client consents for the use of AI tools, and maintaining appropriate confidentiality and privilege protections.

You agree to use our Service only for legitimate legal purposes and in a manner consistent with your professional obligations and the highest standards of legal practice. You will not use our Service in any way that could compromise attorney-client privilege, violate client confidentiality, breach professional duties, or otherwise undermine the integrity of legal representation. You acknowledge that you remain fully responsible for all professional decisions and legal work product, regardless of any AI assistance you may receive through our Service.

Acceptable Use and Restrictions


Permitted Use

You may use our Service only for legitimate legal purposes in connection with your authorized legal practice and professional responsibilities. This includes analyzing legal documents, conducting legal research, drafting legal materials, reviewing contracts, preparing litigation documents, performing due diligence, analyzing regulatory compliance issues, and other professional legal activities that are within the scope of your practice and comply with applicable professional conduct rules and ethical guidelines. All use must be consistent with your professional obligations and the standards of competent legal representation.

Your use of our Service must be in accordance with all applicable laws, regulations, professional conduct rules, bar association guidelines, court rules, and ethical requirements. You may use our AI tools to assist with legal analysis, research, and drafting, but you must always provide appropriate professional supervision, review, and validation of all AI-generated content before using it in your professional practice or in any client-related matters.

Prohibited Activities

You may not use our Service to engage in any illegal activities, violate any laws or regulations, breach any professional obligations, or engage in any conduct that could harm our Service, other users, or the legal profession generally. Specifically, you may not use our Service to process information that you are not authorized to access, share confidential information inappropriately, engage in any activity that would violate attorney-client privilege or other professional duties, or use our Service for any purpose other than legitimate legal practice.

You are expressly prohibited from attempting to reverse engineer, decompile, disassemble, or otherwise derive the source code of our AI models, algorithms, or underlying technology. You may not use our Service to create competing products or services, develop alternative AI models, train other artificial intelligence systems, or otherwise exploit our intellectual property for commercial purposes without our express written consent. You may not attempt to circumvent any security measures, access controls, or usage limitations we have implemented.

You may not use our Service to generate content that is defamatory, harassing, discriminatory, or otherwise inappropriate for professional legal practice. You may not upload malicious code, viruses, or other harmful content, attempt to gain unauthorized access to our systems, or interfere with the normal operation of our Service. You may not use our Service to violate the rights of any third party or to engage in any activity that could result in legal liability for us or other users.

Data and Content Standards

All information, documents, and content you upload or input into our Service must be legally obtained and appropriately within your authority to process under applicable laws, professional conduct rules, and client agreements. You are responsible for ensuring that you have all necessary rights, permissions, authorizations, and client consents to use our Service with any client data, confidential information, privileged materials, or other sensitive content. You must comply with all applicable privacy laws, data protection regulations, and professional confidentiality requirements.

You represent and warrant that all content you provide to our Service is accurate, complete, and does not violate any third-party rights, including intellectual property rights, privacy rights, or confidentiality obligations. You agree not to upload or process any content that is subject to export restrictions, regulatory prohibitions, or other legal limitations that would prevent or restrict our provision of Services to you.

Intellectual Property Rights


Your Content and Work Product

You retain all rights, title, and interest in and to any documents, information, content, work product, and other materials that you upload, input, create, or generate using our Service. Our AI tools are designed to assist with your legal work without creating any competing claims to your intellectual property, work product, or client materials. All legal analysis, research, drafts, and other work product created through your use of our Service belongs entirely to you and your clients, subject to the terms of your client engagement agreements and applicable professional conduct rules.

We do not claim any ownership rights in your legal work product, client materials, or confidential information. However, you grant us a limited, non-exclusive license to process your content solely for the purpose of providing our Service to you. This license terminates when you delete your content or terminate your account, except to the extent we are required to retain certain information for legal or regulatory compliance purposes.

Our Intellectual Property

The Service, including all software, AI models, algorithms, machine learning systems, user interfaces, databases, and related technology, is owned by us and our licensors and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use our Service in accordance with these Terms solely for your authorized legal practice. This license does not grant you any rights to our underlying technology, source code, or proprietary algorithms.

All trademarks, service marks, logos, and brand names used in connection with our Service are our property or the property of our licensors. You may not use any of our trademarks or intellectual property without our express written permission. You acknowledge that our AI models and technology represent valuable trade secrets and proprietary information that we have invested significant resources to develop.

AI-Generated Content

While you retain ownership of work product created using our Service, you acknowledge that AI-generated suggestions, analysis, drafts, and other content are created through automated processes using our proprietary technology and may not be eligible for copyright protection under applicable law. You are responsible for reviewing, modifying, validating, and taking professional responsibility for all AI-generated content before using it in your legal practice, client communications, or any professional capacity.

You understand that AI-generated content may contain errors, inaccuracies, biases, or inappropriate suggestions that require human professional judgment to identify and correct. Our AI technology is designed to assist, not replace, professional legal expertise, and you remain solely responsible for all legal decisions and work product regardless of any AI assistance you receive.

Professional Responsibility and Limitations


Attorney Obligations

You acknowledge that use of our Service does not alter your professional obligations as a licensed attorney. You remain fully responsible for all legal work product, maintain all duties to your clients, and must ensure that your use of AI tools complies with applicable rules of professional conduct.

Competence and Supervision

You represent that you possess the necessary competence to use AI tools in your legal practice and that you will provide appropriate supervision and review of all AI-generated content. You are responsible for ensuring that AI assistance enhances rather than compromises your ability to provide competent legal representation.

No Attorney-Client Relationship

Our provision of AI tools and services does not create an attorney-client relationship between us and you or your clients. We are not providing legal advice, and our AI tools are not substitutes for professional legal judgment and expertise.

Confidentiality and Data Protection


Confidentiality Obligations

We understand that legal professionals work with privileged and confidential information. We maintain strict confidentiality protections for all information processed through our Service and will not access, review, or disclose your confidential legal information except as necessary to provide the requested services.

Data Security

Disclaimers and Limitations


Service Warranties

Our Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

AI Limitations

You acknowledge that artificial intelligence has inherent limitations and may not always produce accurate, complete, or appropriate results. AI-generated content may contain errors, biases, or inconsistencies that require human review and correction. You are responsible for validating all AI output before using it in your legal practice.

Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of our Service. Our total liability to you for all claims shall not exceed the amount you paid to us in the twelve months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless us and our affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, and expenses arising out of or relating to your use of our Service, your violation of these Terms, or your violation of any rights of another party.

Professional Liability and Insurance

You acknowledge that you maintain appropriate professional liability insurance coverage for your legal practice, including coverage for the use of technology tools in providing legal services. You are responsible for ensuring that your insurance coverage is adequate for your use of AI tools in legal practice.

Termination


Termination by You

You may terminate your account and discontinue use of our Service at any time by following the cancellation procedures in your account settings. Upon termination, your access to the Service will cease, and you may request deletion of your data in accordance with our data retention policies.

Termination by Us

We may terminate your access to our Service immediately if you violate these Terms, engage in prohibited activities, or if we reasonably believe that continued provision of services could result in legal liability or regulatory violations.

Effect of Termination

Upon termination, all rights and licenses granted to you under these Terms will immediately cease. You remain responsible for all fees incurred prior to termination. Provisions of these Terms that by their nature should survive termination will continue to apply.
